Membership Agreement
1. Responsibilities
1.1. The Company reserves the right to make changes to prices and the products and services offered at any time. 1.2. The Company agrees and undertakes that the member will be able to benefit from the services covered by the agreement, except for technical failures. 1.3. The User agrees in advance that they will not engage in reverse engineering on the site or any other activity aimed at discovering or obtaining the source code of the site. Otherwise, they will be responsible for any damages that may occur to third parties, and legal and criminal proceedings will be initiated against them. 1.4. The User agrees not to produce or share content that is contrary to general morality and etiquette, illegal, infringes the rights of third parties, is misleading, offensive, obscene, pornographic, violates personal rights, violates copyright, or promotes illegal activities, in any activity on the site, any part of the site, or in communications. Otherwise, the User will be fully responsible for any damages that may occur, and in such a case, the ‘Site’ authorities reserve the right to suspend or terminate such accounts and to initiate legal proceedings. The site also reserves the right to share information about activities or user accounts with judicial authorities if requested. 1.5. The relationships between the site members and third parties are their own responsibility.
2. Intellectual Property Rights
2.1. All intellectual property rights such as the title, business name, trademark, patent, logo, design, information, and methods on this Site, whether registered or unregistered, belong to the site operator and owner company or the respective owner mentioned and are protected by national and international law. Visiting this Site or benefiting from the services on this Site does not grant any rights to such intellectual property rights. 2.2. The information on the Site may not be reproduced, published, copied, presented, and/or transferred in any way. The entire Site or any part of it cannot be used on another website without permission.
3. Confidential Information
3.1. The Company will not disclose personal information transmitted by users through the site to third parties. This personal information includes any other information to identify the User, such as name-surname, address, telephone number, mobile phone, e-mail address, and will be referred to as ‘Confidential Information’. 3.2. The User agrees and declares that they consent to the limited use of their communication, portfolio status, and demographic information by the Company that owns the Site, to be shared with its affiliates or group companies it belongs to, solely for the purpose of marketing activities such as promotions, advertisements, campaigns, and announcements. This personal information may be used by the Company to determine customer profiles, offer promotions and campaigns tailored to customer profiles, and conduct statistical studies. 3.3. Confidential Information may only be disclosed to official authorities if such information is requested by official authorities duly and in accordance with mandatory provisions of applicable legislation.
4. No Warranty
This clause of the agreement will be valid to the maximum extent permitted by applicable law. The services provided by the Company are offered on an “as is” and “as available” basis, and the Company makes no warranties, express or implied, including but not limited to any implied warranties of merchantability, fitness for a particular purpose, or non-infringement regarding the services or application (including all information contained therein).
5. Registration and Security
The User is required to provide accurate, complete, and up-to-date registration information. Otherwise, this Agreement will be deemed violated, and the User’s account may be terminated without notice.
The User is responsible for the security of their password and account on the site and third-party sites. The Company cannot be held liable for any data loss, security breaches, or damage to hardware or devices that may occur.
6. Force Majeure
In the event that obligations arising from the agreement cannot be fulfilled by the parties due to reasons beyond their control, such as natural disasters, fires, explosions, civil wars, wars, uprisings, public movements, mobilization announcements, strikes, lockouts, and epidemics, infrastructure and internet failures, and power outages (collectively referred to as “Force Majeure” below), the parties are not responsible. During this period, the rights and obligations of the parties arising from this Agreement shall be suspended.
7. Integrity and Enforceability of the Agreement
If any term of this Agreement becomes invalid or unenforceable in whole or in part, the remainder of the Agreement shall continue to be valid.
8. Amendments to the Agreement
The Company may change the services offered on the site and the terms of this Agreement, in whole or in part, at any time. Changes will be effective from the date they are published on the site. It is the User’s responsibility to follow the changes. By continuing to use the services provided, the User is deemed to have accepted these changes.
9. Notices
All notifications related to this Agreement will be sent to the known e-mail address of the Company and to the e-mail address provided by the user in the membership form. The User agrees that the address provided during registration is a valid notification address and that any notifications sent to this address will be considered valid unless a written notification of change is provided within 5 days.
10. Evidence Agreement
In any dispute that may arise regarding transactions related to this Agreement, the records, documents, and computer records, and fax records of the Parties will be accepted as evidence in accordance with the Code of Civil Procedure No. 6100, and the User agrees not to object to these records.
11. Resolution of Disputes
In the event of any dispute arising from the application or interpretation of this Agreement, the Courts and Enforcement Offices of Istanbul (Central) Courthouse shall have jurisdiction.
